License Agreement |

1) THE LICENSE: This is a legal agreement between you (Licensee) and Adventure Imagery (Licensor). By clicking on "I agree to the License Agreement" button before purchase, and by downloading and/or using the Adventure Imagery "Image Files", you agree to be bound to the terms and conditions of this agreement, whether images are obtained via download, through our representatives on cd/dvd, video tape or in any and all available formats.
"Image Files" shall refer to all still images and video footage which is previewed and/or licensed from our websites or through our representatives, including but not limited to film, video or any visual medium as well as accompanying, separate or individual audio tracks or samples, composite images, motion sequences, computer files, digital animations, or any other visual or audio representations.
If you are entering this agreement on behalf of your employer or client, the license applies to your employer or client, as well as to you as a representative of your employer or client. Should you cease working for your employer or client, your employer or client may continue to operate under this agreement.
2) GRANT OF RIGHTS: In consideration for payment of the license fee, Licensor grants to Licensee in accordance with the terms and conditions set forth below a worldwide, indefinite, non-exclusive and non-transferable license to use and modify the Image Files as allowed by this license agreement.
Image Files may be incorporated into a derivative work such as a film feature, video, broadcast, multimedia, advertisement, live performance, internet, presentation, or print project.
3) SINGLE USER LICENSE: Image Files may only be modified or used on one computer at any one time. You may not distribute, transfer, grant rights to, rent, lease, lend, sell, sublicense or otherwise make available the Image Files to another person, individual, client, organization, company or other entity. Anything you produce using the Image Files must be for your own use, or for the use of your employer, client or customer, who must be the purchaser and end-user of your work.
You may not place actual Image Files online in any downloadable format or use Image Files in a website at a high resolution for unlicensed download and use by others. The Licensee is responsible for protecting Image Files from any unauthorized use.
Please contact Adventure Imagery for license if you need to expand the usage rights for the Image Files, including usage over a network for multiple users.
4) PROHIBITED USES: Image Files in whole or in part, and any derivative work may not be used, sold, licensed, reproduced, distributed or displayed as templates, stand-alone backgrounds, stock elements or effects imagery elements, made available as downloadable files or included in any other clip media/stock product, library, collection, or set of clips for distribution or resale. These terms apply even if the Image Files have been significantly altered.
Image Files may not be used in any way that may be deemed defamatory, pornographic, obscene, fraudulent, libelous, infringing, or illegal. Image Files may not be used, in part or in whole, as a trademark mark, and Licensor may not claim any proprietary rights of any sort in the Image File or any part thereof.
5) COPYRIGHT: All Image Files are copyright with all rights reserved by Adventure Imagery or its licensors and are protected by United States and International Copyright laws, international treaty provisions and other applicable laws. No title or intellectual property rights in the Image Files are transferred to you. Adventure Imagery retains all rights not expressly granted by this license agreement.
Using Image Files in a way not covered by this agreement or that is specifically prohibited, without prior written consent from Adventure Imagery, is a violation of Federal copyright law. Licensor may be held legally liable and responsible for any copyright infringement that is caused or encouraged by failure of the Licensor to abide by the terms of this agreement. This license is in force until it is terminated. If you do not comply with the terms and conditions above, this license automatically terminates.
6) TERMINATION: This License to use Image Files shall terminate automatically and immediately without notice upon failure of the Licensee to comply with any provision of this License. Upon termination, Licensee must immediately stop using the Image Files in any and all works and delete all copies of the Image Files from all media storage and computers.
7) CREDIT: If possible, please credit "AdventureImagery.com" for use of Image Files.
8) DOWNLOADING TERM: Licensee will have a period of twenty-four (24) hours to access and download their licensed Image Files from the Adventure Imagery website before the download link becomes inactive. Licensee will be fully responsible for downloading licensed content.
9) DISCLAIMER OF WARRANTY: All sales are final and Image Files are provided "AS IS" without warranty of any kind. Agreeing to the license agreement by paying for and downloading Image Files, Licensee agrees to this license agreement and acknowledges the Adventure Imagery no refund policy.
Adventure Imagery makes no representation or warranty with respect to the use of names, trademarks, logos, registered or copyrighted designs or works of art depicted in any Image File, and Licensor must satisfy that all necessary rights, model releases, consents or permissions as may be required for intended usage are secured. Adventure Imagery makes no representation or warranty of merchantability, fitness for any particular use, quality of image, or compatibility with any computer hardware or other equipment, operating system or software program.
Image Files may have technical imperfections or may not work in all production environments. Licensee has exercised or forgone the option to test the Image File downloading process and quality via the available Test Clip to determine before ordering if the footage is satisfactory for use in the Licensees production environment and to see if there are any conflicts.
10) LIMITATION OF LIABILITY: The Adventure Imagery website, its contents and Image Files are provided "AS IS". The Licensee agrees that neither Adventure Imagery nor any of its directors, officers, employees, subsidiaries, affiliates, or agents shall be liable for any loss, damages, costs, and expenses, whether direct, incidental, or consequential, or other damages arising out of the use of, or the inability to use, the Image Files, including reasonable attorneys' fees, paid or incurred by Adventure Imagery in connection with Licensee's failure to comply with any part of this License. Adventure Imagery shall not be liable for security problems, damage or loss to other property, including but not limited to hardware, software or other due to problems that may arise from a download from the site. Adventure Imagery and any of its agents or employees will not be liable to any distributor or other reseller, customer, end user or other person for any special, indirect, consequential, punitive, or incidental damages, including loss of profit, business, revenue, goodwill or anticipated savings, arising out of the use of or inability to use the Image Files. Licensor´s entire liability and Licensee´s entire remedy shall be no more than the amount paid for the Image Files in question.
11) BREACH OF AGREEMENT: If any part of this agreement is found void and unenforceable, it will not affect the validity of the balance of the agreement, which shall remain valid and enforceable according to its terms. All license rights granted pursuant to this agreement shall automatically terminate upon your breach of this agreement.
Adventure Imagery reserves the right to discontinue the license of Image Files, for any reason and to elect to replace Image Files with an alternative. Upon notice of any discontinuance of a license, Licensee agrees cease Image File usage. This Agreement shall automatically terminate upon failure by Licensee to comply with its terms.
12) AMENDMENTS: Adventure Imagery reserves the right to amend this agreement at any time. |
